Terms of Service

1. Parties and scope

These Terms of Service govern your use of the services provided by Edifice Information Ventures LLC, a limited liability company organised under the laws of the State of Wyoming, United States, trading as EivenX ("EivenX", "we", "us").

These terms apply to:

• Online training courses delivered through BuildAcademia
• Software subscriptions and licences, including OneHAIT, DesignBB and Buildia
• Professional BIM modelling, coordination and documentation services delivered through BuildOutsourcing

By purchasing, subscribing to or using any of these services, you agree to these terms. If you are entering into this agreement on behalf of a company or institution, you confirm that you have authority to bind that organisation.

2. Accounts

Some services require an account. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly at [email protected] if you believe your account has been accessed without authorisation.

Course access and software licences are issued to a named individual or a named institution and may not be shared, resold or transferred unless the applicable licence expressly allows it.

3. Acceptable use

You agree not to:

• Copy, redistribute, publish or resell course content, software or documentation without written authorisation
• Reverse engineer, decompile or attempt to derive the source code of our software, except where that restriction is prohibited by applicable law
• Upload unlawful content, malware, or material you do not have the right to share
• Use the services in a way that disrupts, overloads or impairs them for others
• Circumvent access controls, licence limits or usage metering

We may suspend or terminate access for a material breach of this section.

4. Payments

Payments are processed by Stripe. We do not receive or store full payment card details. Your use of Stripe is also subject to Stripe's own terms and privacy policy.

Prices are stated in United States dollars (USD) unless expressly indicated otherwise. You are responsible for any taxes, duties, bank fees or currency conversion charges applied by your card issuer or local authorities.

Subscriptions and recurring licences renew automatically at the end of each billing period, at the then-current price, until cancelled. You may cancel at any time; cancellation takes effect at the end of the period already paid for. We will give reasonable advance notice of any price change affecting a renewal.

Some products, including DesignBB, are priced per project and built area rather than as a flat subscription. Where that applies, the applicable fee is confirmed in writing before the service is provisioned.

Refunds are governed by our Refund Policy, which forms part of these terms.

5. Professional services

Professional services are provided under a separate written proposal or contract. That document defines the scope of work, deliverables, level of development, assumptions, exclusions, milestones, timeline and fees, and prevails over these terms where the two conflict.

Unless expressly stated otherwise in the proposal:

• We model, coordinate and document on the basis of the design information supplied by the client or its consultants. We do not assume the role of designer of record for any discipline.
• Clash detection and coordination reporting identify conflicts; design resolution remains the responsibility of the relevant discipline's designer.
• Documentation is not signed or certified by professionals registered in the client's jurisdiction unless that is expressly contracted.
• Timelines assume the timely delivery of input information. Delays attributable to third parties or to review by public bodies extend the schedule accordingly.

6. Intellectual property

All course content, teaching materials, templates, software, and the EivenX, BuildAcademia, BuildOutsourcing, DesignBB, OneHAIT and Buildia names and marks are the property of EivenX or its licensors. Purchasing a course or a subscription grants a limited, non-exclusive, non-transferable right to use the material for your own professional or institutional purposes. It does not transfer ownership.

For professional services, models, drawings and other deliverables prepared specifically for a client transfer to that client upon full payment, unless the signed contract provides otherwise. We retain ownership of our underlying methodologies, templates, families, libraries and know-how, including the 4KBW methodology, and may continue to use them freely.

Content that you upload to our platforms remains yours. You grant us a limited licence to host, process and transmit it solely to provide the service.

7. AI-assisted features

OneHAIT, DesignBB and Buildia include features powered by third-party AI models. When you use those features, the content you submit is transmitted to the model provider in order to generate a response. Our Privacy Policy names the providers involved.

AI-generated output may be incomplete or incorrect. It is a working aid, not a substitute for professional judgement. You remain responsible for reviewing and validating any model, quantity, estimate, audit result or answer before relying on it, and for compliance with applicable technical standards and regulations.

8. Third-party software

Certain services require software licensed by third parties, including Autodesk products. Those licences are governed by the terms of their respective vendors. Where a licence is provided as part of a subscription, it is granted for the stated period and for the named user only.

9. Disclaimer of warranties

Except as expressly stated in a signed contract, the services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the services will be uninterrupted or error-free, that defects will be corrected, or that any particular professional, academic or commercial outcome will be achieved.

10. Limitation of liability

To the fullest extent permitted by applicable law, EivenX shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, business opportunity or goodwill, arising out of or in connection with the services, whether based in contract, tort or any other legal theory, even if advised of the possibility of such damages.

Our aggregate liability arising out of or relating to the services shall not exceed the total amount you paid to EivenX for the service giving rise to the claim during the twelve (12) months preceding the event that gave rise to it.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

11. Indemnity

You agree to indemnify and hold harmless EivenX and its members, officers and contractors against any claim, loss or expense arising from your breach of these terms, your misuse of the services, or content you upload that infringes the rights of a third party.

12. Suspension and termination

We may suspend or terminate access where payment fails, where these terms are materially breached, or where required by law. You may stop using the services at any time and cancel any subscription as described in section 4. Sections concerning intellectual property, disclaimers, limitation of liability, indemnity and governing law survive termination.

13. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. The courts located in the State of Wyoming shall have jurisdiction over any dispute arising out of these terms, without prejudice to any mandatory consumer protection rights available to you in your country of residence.

14. Changes to these terms

We may update these terms from time to time. The date at the top of this page indicates the most recent revision. Material changes affecting an active subscription will be notified by email before they take effect. Continued use of the services after a change takes effect constitutes acceptance of the revised terms.
